Terms and Conditions

These Terms and Conditions ("Terms") govern the access and use of the AuraSync software, website, APIs, and mobile applications (collectively, the "Platform"), provided by AuraSync LLC ("Company," "we," or "us"), a business formally registered and holding a valid mercantile license and zoning approval in Burlington Township, New Jersey.
1. Acceptance of Terms
By accessing, registering, or utilizing the Platform, all users—categorized as either content providers ("Creators") or consumers ("Listeners")—agree to be bound by these Terms in their entirety.
2. Account Registration and Municipal Compliance
Users must be at least 18 years of age to establish a monetized Creator account. Creators utilizing the Platform to generate commercial revenue are solely responsible for complying with all applicable local, state, and federal business regulations. This includes obtaining any necessary municipal mercantile licenses, home business permits, or zoning approvals if operating physical commercial entities or home-based businesses within their respective local jurisdictions.
3. Financial Transactions and Stripe Connect Infrastructure
AuraSync utilizes Stripe, Inc. to securely process all financial transactions. By utilizing monetization features on the Platform, Creators explicitly agree to the Stripe Connected Account Agreement. AuraSync facilitates the technological routing of payments but assumes no liability for consumer chargebacks, fraudulent credit card transactions, or settlement delays caused by third-party banking infrastructure.
4. Intellectual Property and Content Ownership
Creators retain all intellectual property rights to the audio, text, and visual content uploaded to the Platform. By uploading content, Creators grant AuraSync a non-exclusive, worldwide, royalty-free license to host, stream, and process the content solely for the mechanical purpose of operating and delivering the Platform's services to end-users.
5. Programmatic Advertising and Artificial Intelligence
Creators utilizing the AI-Powered Contextual Ad Insertion feature agree that AuraSync may analyze audio content using artificial intelligence to facilitate programmatic advertisement placement. AuraSync reserves the right to withhold ad placement on content that violates brand-safety guidelines, including hate speech, illegal content, or copyright infringement.
6. TCCWNA Compliance
Pursuant to the strict requirements of the New Jersey Truth in Consumer Contract, Warranty and Notice Act (N.J.S.A. 56:12-14 et seq.), nothing in these Terms shall be construed to void, waive, or otherwise bypass any clearly established legal right of a consumer residing in the State of New Jersey. AuraSync does not require binding arbitration clauses that would prevent a consumer from pursuing legitimate legal claims. Nothing in these terms shall require a New Jersey consumer to waive their legal right to attorneys' fees.
7. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey. Any disputes arising from these terms shall be resolved exclusively in the state or federal courts located within the State of New Jersey.
